Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and MARGN LLC, a Texas limited liability company ("MARGN.PLUS," "we," "us"). By creating an account or using the service, you agree to these Terms. If you do not agree, do not use the service.

1. What MARGN.PLUS is

MARGN.PLUS is an independent analytics tool for Whatnot sellers. You upload your weekly earnings CSV from Whatnot; we parse it, compute metrics, and show you a dashboard. We are not affiliated with, endorsed by, or sponsored by Whatnot, Inc. "Whatnot" is a trademark of its owner and is used here only to describe what the tool does.

2. Eligibility

You must be at least 18 years old and able to form a binding contract to use MARGN.PLUS. The service is intended for users in the United States. You are responsible for keeping your login credentials secure and for all activity under your account.

3. Your data

When you upload a CSV, we process and store the order rows — including buyer identifiers, order amounts, product titles, and livestream metadata — to compute your analytics. This data represents real people's purchases and your business income, and we treat it that way.

• Your data is stored in our database, encrypted at rest by the hosting provider.
• Only you can see your individual reports. We may access your data to debug a problem you report or to keep the service running.
• You can delete any report, or your entire account, at any time from the Account page. You retain ownership of the data you upload.

4. AI insights

When you generate AI insights, we send aggregated metrics derived from all of your uploaded CSVs to Anthropic's Claude API to produce personalized commentary. Before any data leaves our server, buyer @handles and product titles are replaced with anonymous positional placeholders (e.g. "buyer_a", "item_p1") — Anthropic never sees real names or identifiers. Raw CSV rows are never sent. Anthropic does not train models on API traffic. Their terms of service apply to those requests.

5. Anonymized industry reports

If — and only if — you opt in (at registration or later from your Account page), your data may be included in anonymized, aggregated industry reports shared with brands, retailers, or researchers. Anonymized means exactly that: no seller IDs, no buyer names, no item titles, no individually identifiable information of any kind. Only bucketed aggregates leave our system — think "total sales in a category by region," not anything traceable to you or your buyers. Opting in is never required to use MARGN.PLUS, and you can revoke consent at any time; revocation removes your data from all future reports.

6. Plans, billing, and refunds

• Paid plans are processed by Stripe. We do not store your card details.
• Pro subscriptions renew automatically — monthly or annually, depending on the plan you choose — until you cancel. By subscribing, you authorize us to charge your payment method on a recurring basis at the then-current price.
• You can cancel anytime from the Account page. Cancellation stops future renewals; you keep Pro access through the end of the billing period you already paid for.
• Payments are non-refundable, including for partial billing periods and unused time. We may change our prices with notice; changes apply to your next renewal, not the current period.

7. Not tax, accounting, or financial advice

MARGN.PLUS is an informational analytics tool. We are not a tax preparer, accountant, bookkeeper, or financial advisor. Metrics, profit-and-loss views, the Schedule C Starter Kit, and any export are starting points for your own records, not tax, legal, or financial advice. Our numbers may differ from Whatnot's official statements and may contain errors. You are solely responsible for your tax filings and business decisions, and you should have a qualified professional review your figures before relying on them.

8. Acceptable use

You agree not to:

• Upload CSVs that are not yours or that you do not have the right to upload.
• Resell, sublicense, scrape, reverse-engineer, or copy the service.
• Use MARGN.PLUS to stalk, harass, or harm individual buyers, or to violate any law.
• Interfere with, overload, or attempt to gain unauthorized access to the service.

9. Service availability and changes

We may add, change, suspend, or discontinue any part of the service at any time. We may set or change limits (such as upload or AI-generation caps) as needed to keep the service sustainable. We will try to give reasonable notice of major changes, but are not required to.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. We do not warrant that the service will be uninterrupted, secure, or error-free, or that any metric will be accurate, complete, or match Whatnot's reporting. You use the service at your own risk.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, MARGN LLC AND its owners, employees, and contractors WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR ANY LOST PROFITS, LOST REVENUE, LOST DATA, OR TAX PENALTIES, even if we have been advised of the possibility. Our total liability for any and all claims arising out of or relating to these Terms or the service is limited to the greater of (a) the total amount you paid us in the twelve (12) months before the claim arose, or (b) one hundred US dollars ($100). Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

12. Indemnification

You agree to indemnify and hold harmless MARGN LLC and its owners from any claim, demand, loss, or expense (including reasonable attorneys' fees) arising out of your use of the service, the data you upload, or your violation of these Terms or any law.

13. Termination

You may stop using the service and delete your account at any time. We may suspend or terminate your access at any time, with or without cause or notice, including if you violate these Terms. Sections that by their nature should survive termination — including data ownership, disclaimers, limitation of liability, indemnification, and governing law — survive.

14. Governing law and disputes

These Terms are governed by the laws of the State of Texas, without regard to its conflict-of-law rules. Before filing any claim, you agree to first contact us and try to resolve the dispute informally for at least 30 days. Any dispute that cannot be resolved informally will be brought exclusively in the state or federal courts located in Tarrant County, Texas, and you consent to personal jurisdiction there. To the extent permitted by law, you and MARGN LLC agree that any dispute will be brought in an individual capacity only, and not as a plaintiff or class member in any class or representative action.

15. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will email you or post a notice in the app. Your continued use of the service after changes take effect means you accept the updated Terms.

16. Miscellaneous

If any provision of these Terms is found unenforceable, the rest stays in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets. These Terms, together with our Privacy Policy, are the entire agreement between you and MARGN LLC regarding the service.
